Terms of Service

This document is a starting point and should be reviewed by legal counsel before being considered binding.
§01Acceptance
By creating an account or otherwise using pendi (the “Service”), operated by Martin Coll from CABA, Argentina, you accept these Terms. If you don’t agree, please don’t use the Service.
§02What the Service is
pendi is an editorial task manager for small async teams: projects, sprints, tasks, kanban and list views, clients, tags, multi-tenant organisations, a typed REST API and an MCP server. The product is described in plain terms on the marketing site; the contract is this document.
§03Accounts and eligibility
You must be at least 18 years old to register. Information you give us must be accurate and kept current. You are responsible for anything that happens under your credentials — choose a strong password and turn on 2FA.
§04Subscription and pricing
Plans are billed monthly or annually in Argentine pesos (ARS) or US dollars (USD), depending on the payment provider used in your region. The price and currency are shown at checkout and on your invoices.
You can cancel at any time from the billing settings. The cancellation takes effect at the end of the current billing period. We do not refund partial periods unless the law requires it.
§05Acceptable use
You agree not to use the Service to:
- send spam or unsolicited bulk messages;
- harass, threaten, or impersonate any person;
- store or distribute illegal content;
- reverse engineer, decompile, or otherwise attempt to extract the source code of the Service;
- circumvent rate limits, quotas, or other technical restrictions.
Reasonable rate limits apply to API and web traffic. If you have a legitimate need that exceeds them, get in touch.
§06Your content
You retain ownership of the tasks, comments, attachments, and other content you put into the Service (your “Content”). You grant pendi a limited, worldwide, non-exclusive licence to host, store, transmit, and display your Content solely so we can operate the Service for you.
We do not train AI models on your Content unless you explicitly opt in. If we ever offer such a feature, the opt-in will be granular, off by default, and reversible.
§07Our intellectual property
The Service, including the platform code, design, brand, logos, and documentation, is and remains the property of pendi. These Terms do not transfer any of that to you. You may reference the brand (e.g. “we use pendi”) in factual statements.
§08Availability
We operate the Service on a best-effort basis. At this stage we do not offer a contractual uptime SLA. We deploy frequently and occasionally things break; when they do, we fix them and communicate honestly.
§09Termination
You can cancel and delete your account at any time. We may suspend or terminate access if you materially violate these Terms — most often, the unacceptable-use rules in §5 — and we’ll explain why when we do.
On termination, your data is removed per the retention rules in our Privacy Policy.
§10Warranties and liability
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Our aggregate liability arising out of or related to these Terms is capped at the fees you paid us in the twelve months immediately preceding the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in this section limits liability that cannot be excluded under Argentine law.
§11Governing law
These Terms are governed by the laws of the Argentine Republic. Any dispute that cannot be resolved amicably will be submitted to the competent ordinary tribunals of the Ciudad Autónoma de Buenos Aires, with both parties waiving any other jurisdiction.
§12Changes and contact
We may update these Terms as the Service evolves. Material changes are announced by email and by a banner in the product before they take effect.
